These Terms govern your access to and use of our website www.bluesand.ai and such other websites Bluesand sets up from time to time (the "Sites"). These Terms do not govern the use of Bluesand's software-as-a-service platform, which is subject to a separate Main Platform Agreement. Read these Terms in conjunction with our Privacy Policy.

By accessing or using the Sites, you agree to be bound by these Terms. If you are acting on behalf of your employer or another entity, you represent and warrant that you are authorized to bind such employer or entity to these Terms.

If you do not understand or agree with these Terms of Use or our Privacy Policy, please do not use the Sites or submit your Personal Information to us.

Your use of the Sites

You may freely browse the Sites, but you may only access, download, or use information from the Sites, including any text, images, audio, and video (the "Content"), for your non-commercial and personal purposes to learn about our products and services. You need not register with Bluesand to simply visit and view the Sites.

You may not:

• Distribute, modify, transmit, reuse, re-post, or use the Content for any other purposes without written permission from Bluesand.
• Engage in any data mining, scraping, or automated data collection on the Sites.
• Attempt to interfere with or disrupt the Sites or otherwise access the Sites or use the Content in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Sites or any systems or networks connected to the Sites.
• Upload or transmit any viruses, malware, or other harmful code.
• Use the Sites in any manner that could damage, disable, overburden, or impair the Sites or interfere with any other party's use of the Sites.

You will retain all copyright and other proprietary notices contained in the original Content on any permitted copy you make of the Content.

Service

You may access and use Bluesand's software-as-a-service platform once you purchase a subscription and sign our Main Platform Agreement, unless there is a separate written agreement between us which otherwise governs access and use of the platform.

You are encouraged to contact us by completing and submitting our online contact form for additional information pertaining to our products and services. We collect your first name, last name, company name, and email address. Please do not provide any confidential, proprietary, or sensitive personal information in your inquiry, as your submission may not be protected.

Privacy

Any Personal Information you provide in connection with the Sites is subject to our Privacy Policy, which is incorporated by reference into these Terms.

Intellectual property rights

The Content is owned by Bluesand and its licensors and is protected by copyright laws and international intellectual property treaties. Except for the limited rights of use expressly permitted by these Terms, all other rights are reserved by Bluesand and its licensors. Unauthorized use is strictly prohibited.

The trademarks, service marks, and logos of Bluesand used and displayed on the Sites are registered and unregistered trademarks or service marks of Bluesand. Other company, product, and service names located on the Sites may be trademarks or service marks owned by third parties.

Nothing on the Sites or in these Terms should be construed as granting any license or right to use any trademark, service mark, or logo displayed on the Sites without the prior written consent of Bluesand specific for each such use.

Disclaimer of warranties and limitation of liability

THE SITES AND CONTENT ARE PROVIDED TO YOU "AS IS," "WITH ALL FAULTS," AND ON AN "AS AVAILABLE" BASIS. BLUESAND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BLUESAND IS NOT LIABLE TO YOU OR OTHERS, IN ANY WAY OR FOR ANY DAMAGES OF ANY KIND OR UNDER ANY THEORY (FOR EXAMPLE, CONTRACT OR TORT), INCLUDING BUT NOT LIMITED TO INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR COVER DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITES OR CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUESAND’S MAXIMUM AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THE SITES SHALL NOT EXCEED ONE HUNDRED EUROS (EUR 100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION.

Indemnification

You agree to defend, indemnify, and hold harmless Bluesand, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, causes of action, damages, and liabilities (including but not limited to reasonable attorneys' fees and costs) arising out of your violation of these Terms.

The Sites may contain links to third-party websites. We are not responsible for the content or practices of these websites. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.

Changes to the Terms

We reserve the right to update these Terms at any time. We will notify users of material changes by posting a notice on the Sites. Your continued use of the Sites after any changes constitutes your acceptance of the new Terms.

Force majeure

Bluesand shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Bluesand's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, internet or infrastructure disruptions, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Governing law and jurisdiction

The English language version of these Terms governs, and any translation is merely a courtesy.

• If you are based in the European Economic Area, the United Kingdom, or Switzerland, these Terms are governed by the laws of France, without regard to its conflict of law provisions. The exclusive venue for any dispute regarding these Terms shall be the competent courts of Paris, France.
• If you are based outside the European Economic Area, the United Kingdom, or Switzerland, these Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The exclusive venue for any dispute regarding these Terms shall be a court of competent jurisdiction located in the State of Delaware.

The prevailing party in any action relating to these Terms is entitled to recover its reasonable attorneys' fees and costs. All proceedings will be conducted in the English language.

Termination

We may suspend or terminate your access to the Sites at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to Bluesand, other users, or third parties. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bluesand with respect to the Sites. For the avoidance of doubt, access to and use of Bluesand's software-as-a-service platform is governed by a separate Main Platform Agreement.
